The Overseas Examinations Commission is run by a Chairman and a committee of 15 Commissioners. The members of the Committee, including the Chairman, are nominated by the Minister of Education to serve for a period of three (3) years. The composition of the Commission is as follows:

The mandate of the Commission is carried out by the Overseas Examinations Commission headed by an Executive Director, who reports to the Chairman. The Commission meets at least four times per year.

Functions of the Overseas Examinations Commission
The Overseas Examinations Commission is mandated to:
- Ensure that the rules of the Ministry of Education with respect to the conduct of Overseas Examinations are adhered to by schools and private candidates;
- Ensure that the rules and regulations of the various examining bodies are observed
- Disseminates registration information regarding examinations in a timely manner
- Collects examination fees from schools and private candidates
- Guides clients through the various registration processes
- Accurately processes and dispatches entries to the Examining Bodies within the prescribed time
- Pays over fees to Examining Bodies in a timely manner
- Provides related documents and materials to schools in a timely manner
- Facilitates the collection and dispatch of relevant documents and materials to the Examining Bodies
- Efficiently dispatches results to schools and private candidates
- Provides verification of results for institutions and firms on request
- Preserves and maintains records of examination results
- Provides Syllabuses, Notes, Specimen papers and past papers to schools and private candidates
- Provides access to examination statistics to individuals and interest groups
